- Your pins are yours. We store and process them only to run the Service.
- You're responsible for your API keys and for what your agents do with them.
- Please keep secrets and sensitive personal data out of pins.
- It's free, and you can leave whenever you like.
The agreement
These terms are an agreement between you and Joseph Smith, who runs Laterbase ("we" or "us"). They cover your use of Laterbase, including the website at laterbase.dev, the dashboard, the MCP server and the API (together, the "Service").
By creating an account or using the Service you accept these terms. If you use the Service for an organisation, you confirm you're allowed to accept them on its behalf, and "you" includes that organisation.
What the Service does
Laterbase stores notes about deferred software work ("pins") that you, your teammates and the coding agents you connect create, and lets you search, rank and manage them. We may change, add or remove features over time. If we remove something you depend on, we'll try to give you reasonable notice.
Accounts and workspaces
You need an account to use the Service, and you must be at least 16. Keep your sign-in details secure and tell us promptly at hello@laterbase.dev if you think someone has accessed your account without permission.
Pins live in workspaces. Workspace owners decide who is a member and can remove members. Everything in a workspace is visible to all of its members, so only add people you're happy to share it with.
API keys, apps and agents
API keys, and the apps you connect through OAuth, let software act as you. You're responsible for what happens through your connections, including anything an AI agent does with them. Treat keys like passwords: don't commit them to repositories or share them, and revoke any key or app you no longer trust.
You're responsible for reviewing what your agents put in pins. Don't let them include secrets, credentials or personal data that doesn't need to be there.
Your content
You keep ownership of everything you and your agents put into the Service ("Your Content"). You give us permission to host, copy, process and display Your Content only as needed to run, secure and improve the Service for you. That includes sending pin text to our embeddings provider to make it searchable, as described in the Privacy Policy.
We don't sell Your Content and we don't use it to train AI models. You confirm you have the right to upload Your Content and that it doesn't break any law or anyone else's rights.
Acceptable use
Please don't:
- break the law, or use the Service to infringe anyone's rights;
- upload malware, or content you know to be illegal or harmful;
- store secrets, payment card data or special-category personal data in pins;
- try to get into accounts, workspaces or systems you aren't authorised to use, or probe or overload the Service beyond normal use (including getting around rate limits);
- resell the Service, or use it to build a competing product by copying it.
We may suspend access that puts the Service or other users at risk, and we'll tell you why when we can.
Fees
The Service is free to use. If we ever introduce paid plans, we'll tell you well before you're charged anything, and nothing you already use will start costing money without you choosing a plan.
Third-party services
The Service works with tools we don't control: GitHub, for sign-in and the GitHub app, and the AI agents, editors and apps you connect. Your use of those tools is governed by their own terms, and we aren't responsible for them.
Install the GitHub app only on accounts and repositories you're allowed to connect. It sends us details of pull requests and commits, as the Privacy Policy describes, and you can uninstall it from GitHub at any time.
Availability and changes
We work to keep the Service running and your data safe, but we can't promise it will always be available or error-free. We may take it down for maintenance. You should keep your own records of anything critical.
Ending the agreement
You can stop using the Service at any time, and we'll close your account and delete your data when you ask at hello@laterbase.dev. We may suspend or end your access if you seriously or repeatedly break these terms, or if we have to for legal reasons. Where it's reasonable, we'll give you notice and a chance to get a copy of Your Content first.
When an account or workspace is deleted, we delete the associated content as described in the Privacy Policy.
Disclaimers
The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. Pins are written by people and AI agents and may be wrong; check them before you act on them.
Limits on liability
To the extent the law allows, we aren't liable for indirect or consequential losses, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100.
Nothing in these terms limits liability that can't be limited by law, such as liability for death or personal injury caused by negligence, or for fraud.
Changes to these terms
We may update these terms. If a change is significant, we'll tell you by email or in the dashboard at least 30 days before it takes effect. If you keep using the Service after that, you accept the new terms.
Governing law
These terms are governed by the laws of the State of California, and the state and federal courts in Orange County, California have jurisdiction over any dispute, unless the law where you live gives you the right to bring a claim locally.
